Terms of Service
These Terms of Service ("Terms") govern your engagement of digital marketing and website growth services from Digital Road LLC ("Company", "we", "us"). By engaging our services, you ("Client", "you") agree to be bound by these Terms.
1. Services
Digital Road LLC agrees to provide services as described in a mutually executed Statement of Work ("SOW"). The SOW will detail the scope of services, deliverables, project timelines, and fees. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising management, website conversion optimization, and content creation.
2. Payment Terms
Fees for services will be invoiced as set forth in the SOW. Typically, services are billed on a recurring monthly basis and are payable in advance of the service period. All payments are due upon receipt of the invoice. Late payments may result in the suspension of services and/or incur late fees.
3. Client Responsibilities
The Client agrees to provide Digital Road LLC with timely access to all necessary materials, data, and personnel required to perform the services. This may include, but is not limited to, website admin access, advertising account credentials, and brand assets. The Client warrants that all materials provided to us are accurate and that they have the legal right to use them.
4. Confidentiality
Each party agrees to maintain the confidentiality of the other's proprietary information, including business strategies, client lists, financial data, and campaign performance data. This obligation of confidentiality shall survive the termination of our engagement.
5. Intellectual Property
The Client shall retain ownership of all pre-existing intellectual property. Any deliverables specifically created by Digital Road LLC for the Client under an SOW (e.g., ad copy, creative assets, custom reports) shall become the property of the Client upon full and final payment for the services rendered.
6. Limitation of Liability & No Guarantee
While Digital Road LLC will perform services to the best of its professional ability, we do not guarantee specific outcomes or results. The Client acknowledges that digital marketing performance is subject to numerous external factors beyond our control, such as search engine algorithm changes and competitor actions. In no event shall Digital Road LLC be liable for any indirect, incidental, or consequential damages.
7. Term and Termination
The term of the engagement will be specified in the SOW. Either party may terminate the agreement with written notice, typically thirty (30) days. Upon termination, the Client is responsible for paying for all services performed up to the effective date of termination.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Digital Road LLC is registered.
